Terms of Service

These Terms govern general website access and evaluation of the Service.

If you enter into a separate Pilot Agreement, Master Services Agreement ("MSA"), Order Form, or other written agreement with Quixas, that agreement governs your commercial use of the Service. If there is any conflict between these Terms and a separately executed written agreement, the written agreement will control.

Quixas provides software designed to assist property claims organizations with reviewing First Notice of Loss ("FNOL") submissions for document completeness and internal consistency.

The Service may:

• Extract structured information from customer-provided documents.
• Evaluate claim submissions against configurable completeness rules.
• Identify missing or inconsistent information.
• Generate informational alerts and draft follow-up requests for customer review.
• Route complete submissions according to customer-defined workflows.

The Service is intended solely as an operational support tool.

Quixas does not replace claims professionals or perform regulated insurance functions.

The Service does not:

• determine insurance coverage;
• make claims-handling decisions;
• adjust claims;
• determine legal liability;
• detect or classify fraud;
• audit repair estimates or contractor pricing;
• provide legal advice;
• provide insurance advice;
• provide underwriting decisions;
• determine claim validity.

All operational, regulatory, legal, financial, and claims-handling decisions remain exclusively the responsibility of the customer and its authorized personnel.

The Service produces informational outputs intended to assist qualified users.

All outputs require independent human review before operational use.

Customers remain solely responsible for reviewing, approving, modifying, or rejecting any recommendations, alerts, or draft communications generated by the Service.

You represent and warrant that:

• you are at least 18 years old;
• you have authority to bind the organization you represent;
• your use of the Service complies with all applicable laws.

You agree not to:

• access the Service without authorization;
• reverse engineer, decompile, or attempt to derive source code;
• interfere with or disrupt the Service;
• upload malware or malicious code;
• scrape, copy, or systematically extract platform data;
• use automated tools to probe or attack the platform;
• circumvent security controls;
• resell or sublicense the Service without written permission;
• use the Service in violation of applicable law.

We may suspend or terminate access for violations of these Terms.

Customers retain ownership of all claim data, documents, and other information submitted to the Service.

Quixas processes customer data solely for the purpose of providing the Service and in accordance with applicable agreements and our Privacy Policy.

Except for Customer Data, Quixas owns all right, title, and interest in and to:

• the Service;
• software;
• user interface;
• APIs;
• workflows;
• documentation;
• algorithms;
• deterministic completeness logic;
• generic completeness rules;
• software improvements;
• know-how;
• trademarks;
• copyrights;
• other intellectual property.

Nothing in these Terms transfers ownership of Quixas intellectual property.

Customer-specific business rules and configuration remain governed by the applicable Pilot Agreement or MSA.

If you provide suggestions, recommendations, feature requests, or other feedback regarding the Service, you grant Quixas a perpetual, worldwide, royalty-free license to use such feedback without restriction or compensation.

Information exchanged through the Service that is reasonably understood to be confidential shall be treated as confidential by both parties.

This provision does not replace any separate Non-Disclosure Agreement executed between the parties.

Our collection and processing of personal information is governed by our Privacy Policy.

By using the Service, you acknowledge that claim files may contain personally identifiable information and authorize Quixas to process such information solely for providing the Service.

The Service may use automated technologies, including machine learning, to assist with information extraction and consistency analysis.

Automated systems may occasionally produce inaccurate or incomplete results.

Customers remain solely responsible for independently reviewing all outputs before relying upon them operationally.

Quixas implements commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.

Quixas may utilize third-party cloud infrastructure and subprocessors in delivering the Service.

Current security certifications, if any, are described separately and should not be inferred from these Terms.

Quixas may suspend or terminate access if:

• these Terms are violated;
• use threatens the security or integrity of the Service;
• required by law;
• necessary to prevent abuse or unauthorized activity.

You may discontinue use of the Service at any time.

Commercial termination rights are governed by the applicable Pilot Agreement or MSA.

The Service is provided "AS IS" and "AS AVAILABLE."

To the fullest extent permitted by law, Quixas disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

To the maximum extent permitted by law, Quixas shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, business interruption, or loss of data.

For claims arising solely under these Terms and unrelated to a separately negotiated commercial agreement, Quixas' aggregate liability shall not exceed the greater of:

• USD $100; or
• the total amount paid by you to Quixas under these Terms during the twelve (12) months preceding the claim.

Liability arising under a Pilot Agreement or MSA shall be governed exclusively by that agreement.

You agree to indemnify and hold harmless Quixas, its officers, employees, and affiliates from claims arising from:

• your violation of these Terms;
• your unlawful use of the Service;
• your infringement of third-party rights.

Commercial indemnification obligations are governed by the applicable Pilot Agreement or MSA.

Quixas shall not be liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, internet outages, labor disputes, governmental actions, acts of war, terrorism, pandemics, or failures of third-party service providers.

You agree not to use the Service in violation of applicable export control or sanctions laws.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal proceeding arising solely under these Terms shall be brought exclusively in the state or federal courts located in Florida.

We may update these Terms from time to time.

Updated versions become effective upon posting to this website.

Continued use of the Service constitutes acceptance of the revised Terms.
